Last Updated on 1 May 2026

Welcome to Fragmenta Books (“Platform”), operated by TECH GO LTD. These Terms of Service (“Terms”) govern your access to and use of the Fragmenta Books website, smart contracts and associated digital account services. References in these Terms to “Fragmenta Books”, “we”, “our” or “us”, are to TECH GO LTD and references to “you”, “your” or “user” are to the person with whom Fragmenta Books enter into these Terms.

By registering an account, connecting a blockchain wallet address, connecting a Stripe Account or payment institution account, or otherwise accessing the Platform, you agree to be legally bound by and to comply with these Terms and all additional terms, policies and agreements incorporated herein by reference and amended from time to time at our sole discretion. If you do not agree to these Terms, you must immediately cease all use of the Platform.

1. Scope of Terms

These Terms exclusively govern your day-to-day use of the Platform’s software, account registration, user conduct, interaction with smart contracts and website access.

These Terms do not regulate, govern or grant any legal or financial rights regarding the Participation Right or the calculation and distribution of royalties. The acquisition, holding, royalty-sharing mechanics, risks and secondary transferability of any Participation Right are strictly, entirely and exclusively governed by the separate agreements. In the event of any conflict between these Terms and the aforementioned participation agreements regarding royalty rights or token mechanics, the participation agreements shall prevail.

2. Registration at the Platform

To access the core features of the Platform you need to register a user account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate. In order to fully use the Platform and its functionality, you may need to connect your personal digital wallet or a decentralised gateway. We do not support the functionality of the creation of digital wallets or connecting digital wallets to decentralised applications, wallets or protocols.

You are solely responsible for maintaining the confidentiality of your account login credentials, passwords and the private keys or seed phrases associated with your digital wallet. We will never ask for your private keys. You agree to immediately notify us of any unauthorised use of your account or any other breach of security. You are fully responsible for each and every action or transaction made with or through the Platform under your account or digital wallet.

You may only register and maintain one active account on the Platform. The creation of multiple accounts to bypass purchase limits, manipulate the platform or obscure your identity is strictly prohibited and will result in the immediate termination of all associated accounts.

In addition to the above, you must have the necessary equipment (computer, mobile phone, tablet or other supported device) and the associated telecommunication service subscriptions to access the Internet. Access to the Platform may become degraded or unavailable. We shall not be liable for any losses resulting from or arising out of such delays or unavailableness.

You hereby acknowledge and agree that we have no obligation to enhance, modify or replace any part of the Platform or to continue developing or releasing new versions of the Platform.

3. Identity Verification

In connection with and prior to your execution of the Licensing Participation Agreement, the acquisition of any Participation Right, the issuance of any Token or the release of any payable amounts by the Company to you, you must successfully pass the “Know Your Client” (KYC) procedure in the scope designated by the Company. You agree to execute and deliver to the Company (or to its designated third-party KYC provider) any and all information and documents requested to verify your identity and, if applicable, your ultimate beneficial ownership (UBO) status.

When the user is a corporate entity, the Company may request the following information and documents for identity verification: the business name of the entity, registry code or registration number and the date of registration, proof of the registered office/seat of the entity, a certificate of good standing, proof of representation and powers, articles of association and/or any other information and documents that the Company considers necessary.

When the user is an individual, or for the purpose of verifying the directors and ultimate beneficial owners of a corporate user, the Company may request the following information and documents: first name, last name, residential address, telephone number, e-mail address, date of birth, taxpayer identification number, a government-issued identification (such as a driving license, national ID or internal/international passport), a bank statement, a utility bill and/or any other documents that the Company considers necessary. The Company may additionally request video identification, liveness identification, or a “selfie” with a specified ID or passport.

Any supplementary documents submitted to the Company (such as a bank statement or utility bill, excluding standard government-issued IDs or passports) must be issued no more than three (3) months prior to the date of identification and must clearly list the name (or entity name) and the current address of the individual or the entity. By providing the Company with this or any other required information, you explicitly represent and warrant that all provided information is accurate, authentic and complete.

You hereby explicitly permit the Company to keep a record of all information provided for the KYC procedure. Furthermore, you authorise the Company and its designated contractors to make inquiries, whether directly or through third parties, that the Company considers necessary to verify your identity, your directors and your ultimate beneficial owners. This authorisation is granted to ensure the enforcement of geographic restrictions, protect the Company against fraud or other financial crimes and allow the Company to take any action it reasonably deems necessary based on the results of such inquiries.

You grant the Company the right to store and process your personal data as well as the personal data of your directors, employees or ultimate beneficial owners, in compliance with applicable personal data protection laws and the Company’s Privacy Policy. The Company warrants that it will not disclose any identifying information to the public, except if such disclosure is strictly required under applicable laws or in relation to a formal decision, subpoena or request by a governmental or regulatory authority.

In addition, you represent and warrant that you are not a “U.S. Person” (as defined in Regulation S of the Securities Act of 1933) and that you are not subject to economic or financial sanctions administered by the UN, EU, the UK Office of Financial Sanctions Implementation (OFSI) or the US Department of the Treasury’s Office of Foreign Assets Control (OFAC).

4. Information Accessible via the Platform

Information, materials or data presented on the Platform, including, but not limited to, business plans, roadmap goals, royalty projections, historical performance metrics or anticipated technological integrations, may contain forward-looking statements or assumptions. You explicitly acknowledge that such projections are subject to a high degree of uncertainty and may never be achieved. Blockchain infrastructure, smart contracts and decentralised networks are rapidly evolving and experimental, making them subject to unforeseen limitations, vulnerabilities, disruptions or obsolescence. You agree not to rely on any forward-looking statements or technological assumptions as a guarantee of future outcomes, financial success or platform stability.

In an effort to continue to provide you with as complete and accurate information as possible, information may be changed or updated from time to time without notice, including without limitation, information regarding our policies and services. Accordingly, you should verify all information before relying on it, and all decisions based on information contained on the Platform are your sole responsibility and we shall have no liability for such decisions. Information provided by third parties, including historical data, is for informational purposes only and we make no representations or warranties to its accuracy.

We hereby grant you a limited, revocable, non-exclusive, non-transferable license, subject to the terms and conditions of these Terms, to access and use the Platform and Content solely for purposes approved by us from time to time. Any other use of the Platform or Content is expressly prohibited and all other right, title, and interest in the Platform or Content is exclusively the property of us and our affiliates.

Nothing in these Terms shall grant you any of such property rights and/or ownership rights and shall not be considered as an assignment of such rights. You shall not (nor attempt to) copy, decompile, reverse engineer, disassemble, derive the source code of, modify, or create derivative works of the Platform or any other part of the Content or in any other way manipulate the Platform.

We do not grant you any licenses or accept the use or display in any manner our trademarks, service marks, logos or slogans.

In the event that you provide us with any ideas, thoughts, criticisms, suggested improvements, or other feedback related to the Platform (collectively, “Feedback”), you agree that we may use the Feedback in any way we deem appropriate to: (i) improve the Platform and (ii) promote the Platform, and that you will not be due any compensation for your Feedback that is used in these ways.
